The International Trade Administration's Vietnam distribution guide, dated 23 April 2026, distinguishes an agent working for commission from a distributor buying products for resale. It recommends checking potential partners' permits, facilities, workforce and capital, and documenting each party's responsibilities. The guide is written for U.S. exporters; German suppliers should not treat it as approval of their own operating model. The useful operational question is narrower: what evidence should a prospective Vietnamese distributor produce before a German supplier commits to a wider territory or exclusive relationship?

BLV proposes a bounded distributor pilot rather than treating an introduction as a completed qualification. Consider a hypothetical German component supplier and a Vietnamese technical reseller. They agree to test a small product range with a defined customer segment and review the results on an agreed date. Begin with a one-page role map: who buys from whom, who invoices the customer, who holds stock, who arranges any required import process, and who handles service. Ask the prospective partner to identify the people and facilities behind those promises. Where a requirement is uncertain, record the question and the adviser responsible for resolving it before sales begin.
BLV Interpretation
Make the pilot answer four questions. First, can the partner reach the intended buyer? Agree what qualifies an opportunity: a relevant customer need, a named responsible contact, a plausible decision process and a next step. An address list alone is not evidence of that progress. Second, can the team explain the product accurately? Ask for a demonstration using approved product information, a written quotation and a record of questions that must return to the supplier. Third, can both parties fulfil what they promise? Walk through stock availability, delivery information, receiving arrangements and one support request. Record who responds when a part is unavailable or a buyer reports a defect; do not invent a warranty promise to close the sale. Fourth, can the parties reconcile the numbers? Keep inquiries, quotations, orders, payments, returns and unresolved obligations in separate columns. Choose success thresholds together before the pilot starts, with the expected sales cycle in mind. BLV is not proposing a universal quota or promising a particular conversion rate.
Why This Matters
Use a limited pilot to compare demonstrated channel capability with the commitments requested in a distribution agreement.
The review should distinguish a weak channel from a problem the supplier helped create. No orders may reflect poor partner execution, but they may also expose unclear product positioning, unsuitable pricing, missing documentation or a sales cycle longer than the pilot. Compare the agreed evidence with what actually happened before drawing a conclusion. A productive pilot can end with a decision to narrow the customer segment or improve technical support instead of expanding territory immediately. Treat the outcome as a decision supported by records, not a guarantee of future sales.

- Define the proposed role, products, customer segment, territory and review date. Have advisers resolve permissions and contract questions before trading.
- Request evidence proportionate to each responsibility: relevant references, named staff, facilities, product knowledge and financial capacity. Keep sensitive records restricted to the review team.
- Agree an opportunity register and separate quotation, order, payment and service records. Share only the customer information each party is authorised to use.
- Run a product demonstration and a service-handling exercise before expanding commitments. Record gaps, owners and the support the German supplier must provide.
- At the review date, choose to extend, narrow, pause or end the pilot. Have any exclusivity, exit obligations and handling of remaining stock or customer commitments reviewed before signing.
